Client Background

The client recognized the need for a structured approach to M&A activities and the establishment of an Integration Management Office in anticipation of a series of acquisitions. The client had an established IT PMO however had no previous experience with post acquisition processes and no established IMO. Seeking VK Consulting’s expertise, the client aimed to navigate the complexities of mergers and acquisitions while ensuring seamless post-merger integration for sustained success.

Engagement

VK Consulting was engaged by a North American Retail Company to lead the efforts of formalizing M&A Processes and establishing Integration Management Office (IMO) in preparation of a series of acquisitions and successful execution of the first 3 acquisitions in the span of 2.5 years.

Significant Milestones and Value to Client

•  Identified and documented a tailored Playbook for the M&A Transaction        Process and Post Acquisition Integration in accordance and alignment to the
company’s environment, processes, and people.
• Proactively leading and facilitating the development and execution of
comprehensive integration plans for functional workstreams, intricately
aligned with deal value drivers.
• Executed process on 3 acquisitions comprising of deal value of $110M and
synergies of $10M.
• Established playbook and processes reusable and applicable for future
acquisitions.

Scope of Services

VK Consulting’s engagement involved defining a comprehensive framework encompassing gating processes, playbooks, scorecards, and best practices. Collaborating closely with the executive team, VK Consulting focused on due diligence, transaction management, synergy evaluation and a structured, tailored integration process to guarantee the success of active deals.
